User Terms and Conditions

Prior to use any of the services displayed on the Website, kindly read all Terms & Conditions. The user of the Website
understands and accepts all the T&C presented. Županić Consulting ltd. might change these periodically- users must
make sure to read the current update before starting to use the website or the services available. In case you don’t agree
with these T&C, kindly terminate Agreement with Županić Consulting ltd. and suspend the use of this Website.

The feelgoodliving.club website is owned and managed by Županić Consulting ltd. Lepoglava,
Croatia, Company ID (OIB): 73402678292 (further: „ŽC“, “we” or „us“). These terms and conditions (further:“T&C”) are
applicable to „Feeel Goood Living” service (further: “FGL”) and related services (provided by our Partners) available on
or through the https://properties.zupanic-consulting.hr/ (further: „Website“) and describe your responsibilities as well
as the procedures that guide your relationship with ŽC thereby limiting the liability of ŽC and its associates including,
without limitation, all other service/product providers through ŽC and this Website (the “Partners”).

FGL Users are aware that Feeel Goood Living service is NOT a Timeshare system, travel agency activity, or in the role
of a real estate agent/agency towards any party. Rather, Feeel Goood Living service is a platform (application) which
comprises of the vacation or rental property owners list (with description and pictures) where they offer their
properties for a visit to another FGL Users. ŽC obtains symbolic fee for assisting our customers/members to connect
and for running a website.

DEFINITIONS

EXCHANGE or COMPENSATION. Arrangement in which FGL Users (Parties) agree to offer each other a visit for a set
period of time. Exchange can cover any type of residence/property including villas, apartments, hotels or boats.
Exchange within FGL is carried out utilizing the Krowns. Exchange is not possible if there are no enough Krowns on the
virtual account. Exchange stay is confirmed only when Guest and Host member receive the reservation confirmation
from ŽC and Exchange fee is paid to ŽC. The shortest period of Exchange is six (6) nights i.e. 7 days in cluster.

EXCHANGE FEE. The admin fee that Guest User settles towards ŽC for every reservation made in other Users & property.
Exchange Fee does not include the Partners & fees which is paid separately (when applicable). Each accomodation and
their owner/person in charge have set the rules what is included in the accomodation visit and this is specified in Annex
1 of FGL User Agreement (all other services are charged separatelly (with ŽC consent).

FGL SERVICE USER (further: Member or FGL Member). User of FGL service who accepted T&C stated here and whose
property is verified and accepted as the basis of the cooperation between ŽC and a Member.

GUEST SERVICE USER (Guest, Guests or Guest Member): The Member that received confirmation of reservation dates at
the property of a Host Service User. Guest Member is the person responsible for the act(ion)s of their family members,
invitees or visitors at the Hosts property in the time of the visit (Exchange).

HOST SERVICE USER (Host, Hosts or Host Member): The Member who owns verified property and/or who owns power of
attorney to legally represent the owner (or property manager in the time of the visit of a Guest), that Guest Member
visits on the dates confirmed by ŽC.

KROWNS: The intern currency used in Exchange among the Members. Krowns are gained by (Host Member) offering
available dates for a visit at their property (for the use of other Members), by purchasing Krowns directly from ŽC (by
FGL Member) or by reffering a new member (at the moment when the new owner becomes new member of FGL, the
referrer receives the same number of KROWNs as is the rent amount of the recommended property in euros for 6
nights/ 7 days).

PARTNER: Partner is a party (company or a person) that is indicated as „our partner“, that ŽC has an agreement with and
FGL Member may hire them at the exclusive rate. Partners are at disposal to FGL Members for their particular events
(and/or Exclusive experiences) during the Exchange where Partners offer their services or products in order for FGL
Members having richer experience during the Exchange visit.

VERIFIED PROPERTY: Property of FGL Member that meets specified requirements in order to be a part of FGL, whose
owner/person in charge met ŽC staff and the property was reviewed either in person or by live virtual tour (not
prerecorded).

THE INTERACTION WITHIN FGL

The applicants shall submit their application for review to ŽC in order to become FGL Members. After the consideration
& admission, and as the owner of a verified/accepted property, you become an approved FGL Member. There is no cost
for using the FGL Service at this moment. Once there will be charge, ŽC will inform you at least two (2) months before
the service charge will start to apply (by email).

FGL Members agree to host their fellow FGL Members for at least one 6-night-string in high season (occasional
exceptions may be made if permission is given by our staff) which will be indicated/booked for the following year. Apart
from this mandatory available 6-night-string visit period, FGL Members may also host any other time of the year if they
wish, or may indicate „on request“ on their property profile.

Property ought to fill the following conditions:
– market value of the property rent -which is the subject of Compensation/Exchange – is estimated to 500€ per day,
and/or
– property is distinctive by the architecture, the view, environment/venue/region, special services that are available,
etc.
Reference from an existing member is desirable but it is not a requirement since a member of our team will verify the
property and meet the owner or a person in charge.

ŽC makes every reasonable effort to accomodate all members Conmpensation requests or to offer comparable
properties, dates and destinations. Members call or send request to our staff (by email or in other appropriate manner)
informing them when and where (which property or place) they selected from the platform and wish to stay at and we
are delighted to assist in arranging the Exchange for them. At the time of admission of new FGL Member, we will also fill
the questionnaire with your preferences, values and life style in order to assist you with your best choice.

Only after ŽC sends both the Host Confirmation & Guest Confirmation and the Exchange fee have been
received by ŽC, shall the Exchange be considered definitive and valid. ŽC highly recommends that Guests never make
their travel arrangements (purchase airfare, car rental, etc.) until they have received their Confirmation from the ŽC.

Exchange Fee is currently 10% of market rent value of the property in desired season and it is paid for each visit by Guest
member to ŽC. Market rent value is indicated on the profile of each property in Krowns (1 Krown amounts to 1 EUR). ŽC
reserves the right to change percentage/amount of Exchange fee which will be indicated here in T&C.

Krowns for Exchange are always equal to the market rental value of the property in EUR (and included services and
amenities). One (1) Krown represents one (1) EUR and amount is shown on our website (per night and/or 6 nights stay).
For example: 5000 Krowns per night. Krowns expire after 10 years. New members have an opportunity to purchase
10000 Krowns for 2000 EUR only, 25000 Krowns for 5000 EUR or 70000 Krowns for 10000 EUR. This option will be open
for the first three (3) months from the date of joining and at the beginning of every following year of using the FGL
service (for the first three months). By this advantage, Guests will raise their threshold for staying in the top luxury
properties.

FGL Members have a chance to acquire Krowns by recommending a new member. At the moment when new owner
becomes new member of FGL, the referrer receives the same number of KROWNs as is the rent amount of the
recommended property in euros for 6 nights.

Each FGL Member is required to obtain minimum of 3000 new Krowns (through Hosting, offering availability of their
property, referred new member or purchase) before each year of using the FGL service expires (except for the first year
of using the FGL service).

FGL Members are forbidden to charge rental income from other FGL Members for the Exchange arranged. Such an act
is subject for penalties including termination of using the FGL service.

It is your obligation as FGL Member to keep updated your personal data (such as telephone number and email) so once
the Exchange is arranged, Host and Guest may also obtain each other’s contact in order to give and receive additional
information about the visit (such as entrance code, etc.).

All of our members oblige to treat other owners, properties, Županić Consulting and their staff with care and respect
and thus understand that any conduct that include inappropriate or violent behavior will not be tolerated i.e. it will lead
to immediate cancellation of using FGL service (including cancellation of all future planned visits regardless of Exchange
fee and other fees being settled).

PREPARING THE PROPERTY FOR EXCHANGE AND RESPONSIBILITIES OF FGL USERS

Each FGL Member ought to represent their property in the manner that is attractive and appealing to other FGL
Members, yet not deceiving regarding any condition of the property (exterior, interior, facilities, etc).

You guarantee that pictures, videos and texts that you share with ŽC:
a) are not some else’s intellectual property,
b) that you have a permission to use them on Website (in case that you are not the author).

You guarantee that Županić Consulting ltd. has full permission to use or publish on the Website (and other sites/partners
that we collaborate with) any material (pictures, videos, etc.) that you share with us (by email or any other means). You
accept entirely the financial liability that may (for any reason) be put on FGL/ ŽC for publishing these materials.
If you wish, we may arrange our staff (or associate) to come and create material which will be then posted on the
Website.

FGL Members give to ŽC the consent for verification of the property in person. ŽC assigns the members of management
to visit the property for quality/standard insurance purposes. At the time of the ŽC management members visit (provided the Host/owner/person in charge is not present), the Guest responsibilities/provisions will apply.

FGL Members may indicate special guidelines/instructions regarding using their property, for instance: check in/check
out times, devices, systems and appliances usage, key code or key return policies, number of people that will use the
property, age of children, no smoking policy, no pets, etc. that must be respected.

Guests shall respect (if not indicated in advance, FGL/ŽC will communicate between the Guest and the Host) Host’s
requirements regarding minimum age of the oldest Guest & invitee/companion if the Guest him/herself is not present.
The invitee/companion that is visiting in the Guest’s name shall submit their ID to ŽC prior to reservation confirmation
for the Exchange.

All FGL Members are required to obtain and renew the appropriate property insurance (apart from others – for any/all
non-paying guests) and to provide the confirmation/certificate upon request from ŽC.

All Guests are obliged to register and to pay the tourist fee (which is normally paid when renting a tourist facility) and
similar fees – depending on the location.

Host Member must inform the Guests whether there are CCTV devices within the property and Hosts agree not to
occupy any section of the space/whole property selected for the Exchage during the visit of the Guests.

Host Member is responsible for the housekeeping/cleaning before arrival and after Guests leaving. In case that the
cleaning service is available during the stay, Hosts must inform ŽC and their Guest whether it is chargeable and what is
the cost that the Guest will be paying if they opt for it. Hosts are forbidden to charge the Guest any amount for any
service that ŽC is not aware of and approved- before the Exchange, during or after Exchange.

Hosts are under obligation to maintain in very good or excellent condition whole interior (including, but not limited to:
linen, furniture, lights, household appliances/systems that are customarily used) and, if applicable, whole exterior
(including, but not limited to: facade, entrance, lights, pool, backyard and accompanied outdoor furniture).

Guests agree to pay any additional cost made during the stay (such as, but not limited to, (cell)phone calls, daily
cleaning- if they requested it and if it is chargeable).

Guests are bound to leave the property in a good condititon (as if they would expect their Guests leaving their property).

Both the Guests and the Hosts agree to provide their feedback to ŽC after every visit.

CANCELLATION POLICY

Prior to any cancellation, the Guest and the Host ought to seek an alternative date of the visit before proceeding with
the cancellation.

After confirmation of reservation is given to Guest and the Host, and Guest cancelling their reservation, normally, the
Guests shall forfeit their Exchange fee for the confirmed visit except in case of force majeure circumstances (including,
but not limited to a war, pandemic, government ban, natural disaster, sudden gross damage on the Host’s property due
to force majeure or serious unexpected illness of the Guest Member or their companion).

Hosts shall not cancel confirmed reservation except in the case of aforementioned force majeure events. Apart from
these circumstances, the Host is obliged either to reimburse all costs that the Guests bear arising from cancelled visit or
(if the Guest agrees) arrange similar alternative property within 50km radius for the same dates of the visit. Guest
Member shall not hold ŽC liable for any arising or consequential cost (such as air ticket, self arranged trips, etc.)

LIABILITY WAIVER

Guest Members confirm the following: any/all intention to execute a complete and unconditional waiver and release of
all liability to the full extent of the law for any loss, injury, death and expenses as the result of visiting the Host
Member’s property and confirm a complete and unconditional release of all liability and claims towards Županić
Consulting ltd. and Host Members (unless caused by unethical behaviour or deliberate neglect of the Host Member).

Host Members confirm the following: any/all intention to execute a complete and unconditional waiver and release of
all liability to the full extent of the law for any loss, injury, death and expenses as the result of Guest Members visiting
their property and confirm a complete and unconditional release of all liability and claims towards Županić Consulting
ltd. and Guest Members- including invitees/visitors (unless caused by unethical behaviour or deliberate neglect of the
Guest Members).

FGL Members (the Guests) waive all the claims agains the Host Member or ŽC if the Host’s property becomes
unaccessible because of sudden gross damage on the Host’s property due to force majeure. In this case, ŽC will refund
to the Guest the Exchange fee they paid (substracted by transaction costs amount).

Guest (be it the Guest him/herself or their family members/invitees/visitors) is fully responsible for any/all damages
caused during their visit to Host’s property.

ŽC and all of their staff, associates, partners or anyone else that ŽC is cooperating with, by no means are liable
(regardless of nature of any claim) to FGL Members for the sum of money greater than FGL Members paid to ŽC for an
Exchange.

All ŽC partners or anyone else that ŽC is cooperating with, are by no means liable (during or as a consequence of the
Exchange) for any claim including, but not limited to: robbery, personal injury/death, loss/damage of possesions.

ŽC saves the right to cancel this Agreement in the event of FGL Member failing to comply with these Terms and
Conditions. Any/all accumulated KROWNs will be in that case forfeited.

FINAL PROVISIONS

The laws and other regulations of Republic of Croatia, as well as the law of the European Union applicable in the
Republic of Croatia, are applied as the governing law for these Terms.

All disputes related to the application of these conditions are subject to the jurisdiction of the Court in Varaždin with
the application of Croatian law.

FGL Members may terminate this agreement with minimum 30 (thirty) days notice, except when they have confirmed
reservation as a Host in which case the agreement will be cancelled immediately after the last reserved Hosting is done.
FGL Members understand that they are not entitled to any refund of purchased KROWNs, Exchange fees or any/all other
expenses that arised from confirmed reservations in the role of the Guest.

In the occasion of you wanting to sell your property, you still own your KROWNs and you may use them for the future
Exchanges. You may introduce Feeel Goood Living service to a new owner in which case we make the agreement with
them. Kindly contact us and we will direct you to our real estate associates that will be able to assist you with the sale.
At your request, we will create new profile for your new property with all your previously accrued KROWNs.
